1. 授權範圍
Soothing Studio Lab（以下稱「授權方」）授予購買者（以下稱「被授權方」）一份非獨占、不可轉讓的使用授權，允許依照本協議條款使用所購買的照片、影片及設計素材（以下稱「素材」）。
2. 可允許用途
被授權方可將素材用於：
個人用途：包括但不限於社交媒體貼文、個人品牌、自媒體內容、部落格及非商業專案。
商業用途：包括但不限於行銷活動、廣告、網站、客戶專案及其他推廣活動。
被授權方可對素材進行編輯、修改，並將其融入衍生作品中，用於上述用途。
3. 禁止用途
被授權方不得：
- 轉售、再分發或再授權素材（無論原始或修改後）。
- 將素材提供為免費下載，無論是獨立檔案或作為素材包的一部分。
- 聲稱素材為被授權方自行創作或擁有完整版權。
- 將素材用於任何違法、誹謗、猥褻或侵犯第三方權利的用途。
4. 知識產權
所有素材的權利、所有權及利益均屬 Soothing Studio Lab 所有。被授權方僅獲得使用權，並不擁有素材的完整版權。
5. 責任與賠償
- Soothing Studio Lab 對因素材使用而產生的任何損害、損失或法律糾紛不承擔責任。
- 被授權方同意就因不當使用素材而引起的任何索賠，對 Soothing Studio Lab 進行賠償並使其免受損害。
6. 終止條款
若被授權方違反本協議任何條款，本授權將自動終止。終止後，被授權方必須立即停止使用素材並刪除所有副本。
7. 適用法律
本協議受 香港特別行政區 法律管轄並依其解釋，不考慮法律衝突原則。
Soothing Studio Lab License Agreement
Effective Date: 10 March 2026
Owner: Soothing Studio Lab
1. Grant of License
Soothing Studio Lab (“Licensor”) hereby grants the purchaser (“Licensee”) a non-exclusive, non-transferable license to use the purchased stock photos, videos, and design assets (“Materials”) under the terms set forth in this Agreement.
2. Permitted Uses
Licensee may use the Materials for:
Personal Use: Including but not limited to social media posts, personal branding, blogs, and non-commercial projects.
Commercial Use: Including but not limited to marketing campaigns, advertisements, websites, client projects, and other promotional activities.
Licensee may modify, edit, and incorporate the Materials into derivative works for the above purposes.
3. Prohibited Uses
Licensee shall not:
- Resell, redistribute, or sublicense the Materials in their original or modified form.
- Make the Materials available for free download, whether standalone or bundled.
- Claim ownership of the Materials or represent them as Licensee’s original creation.
- Use the Materials in any manner that is unlawful, defamatory, obscene, or infringes upon the rights of third parties.
4. Intellectual Property
All rights, title, and interest in the Materials remain the sole property of Soothing Studio Lab. Licensee acquires only the rights of use expressly granted in this Agreement.
5. Liability & Indemnification
- Soothing Studio Lab shall not be liable for any damages, losses, or claims arising from the use of the Materials.
- Licensee agrees to indemnify and hold harmless Soothing Studio Lab against any claims resulting from misuse of the Materials.
6. Termination
This License Agreement shall automatically terminate if Licensee breaches any of the terms herein. Upon termination, Licensee must cease all use of the Materials and delete all copies in their possession.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Hong Kong SAR without regard to its conflict of law principles.
